Dilution occurs when a merger or acquisition results in a decrease in the acquiring company?s earnings per share (EPS), usually because more shares are issued to fund the deal. This reduces each existing shareholder?s ownership percentage. Dilutive transactions may concern investors if the long-term benefits of the deal don?t outweigh the immediate impact on EPS.
