Misappropriation Theory
Misappropriation theory is a legal concept in insider trading law where a person commits fraud by using confidential information for securities trading, in violation of a duty owed to the source of the information. Even if the person is not a corporate insider, trading on misappropriated material non-public information is considered illegal under U.S. securities law.
